Terms and Conditions of Use - SharyDuck

1. Purpose and Status of the Service
The sharyduck.com website (hereinafter the "Site") is operated by Yurii Smolinskyi, an individual entrepreneur acting under the laws of the Slovak Republic (hereinafter the "Operator").
SharyDuck (hereinafter the "Service" or "Platform") is the trade name of the technology platform managed by the Operator. The Service provides tools for coordinating and jointly managing subscription service expenses among private individuals (Organizers and Participants).
IMPORTANT: SharyDuck is not a distributor of multimedia content, does not sell accounts, and does not provide access to streaming services.
SharyDuck simplifies cost-sharing between private individuals (Organizers and Participants).
Users acknowledge that any relationship with subscription service providers is governed by the providers' own terms and conditions.
These Terms set out the rules for using the Site and the fundamental principles of the Service.
By using the Site, you confirm your agreement to these Terms.
2. Operator Information (Compliance)
In accordance with consumer protection laws and payment gateway (Stripe) requirements, the Operator provides the following identification details:

3. Relationships with Third Parties (Distributors)
User Obligations
Users, including Hosts, must comply with the terms of use of third-party Distributors (such as Spotify, YouTube, etc.). The platform prohibits the use of commercial accounts and allows only personal family plans, provided this does not violate the rules of the respective Distributor.
- The user is responsible for adhering to the rules of the chosen subscription service. Additionally, the Host confirms they are offering only a permitted personal, non-commercial family plan.
- SharyDuck does not modify or control Distributors' rules and does not influence their decisions. However, SharyDuck reserves the right to restrict or block users whose actions clearly violate Distributors' rules.
Limitation of Liability
SharyDuck is not liable for any changes in Distributors' policies or account blocks imposed by Distributors due to violations of their rules.
4. Roles and Payment Structure
4.1. Definition of Roles
The SharyDuck platform defines the following roles:
- Host (Organizer) – a registered user who holds an active family subscription plan and offers slots for shared use by Participants via the SharyDuck platform.
- Participant (Member) – a registered user who joins a Host’s family group and pays for their subscription slot.
- SharyDuck – a technology-based intermediary platform that facilitates agreements between Hosts and Participants and acts as a Payment Collection Agent on behalf of the Host.
4.2. Nature of the Transaction
When a Participant makes a payment (e.g., €3.40), the following legal relationships apply:
- The transaction is legally between the Participant and the Host. The Participant pays the Host for the right to use a slot in the Host’s family subscription.
- SharyDuck acts solely as an intermediary facilitating this agreement—it does not sell subscriptions and is not a party to the contract between the Participant and the Host.
- By registering and creating a family on the SharyDuck platform, the Host authorizes SharyDuck to collect payments from Participants on their behalf.
4.3. Payment Agent and Temporary Fund Holding (Escrow)
SharyDuck is engaged by the Host as a Payment Collection Agent, which means:
- Funds paid by the Participant are received and temporarily held by Stripe (SharyDuck’s licensed payment infrastructure provider) in a secure holding account—acting as an escrow—on behalf of the Host.
- These funds are considered the Host’s property from the moment of Participant payment and are held temporarily until service delivery is confirmed (the payment protection period).
- SharyDuck deducts its service fee from the held amount before transferring the remainder to the Host’s connected bank account via Stripe. The fee amount and structure are displayed transparently before the Host activates a family.
- The Participant’s payment obligation to the Host is considered fulfilled once the payment is successfully processed by Stripe, regardless of when the Host receives the payout.
4.4. Payment Security and Transparency
Security: All payments are processed through Stripe’s secure infrastructure. SharyDuck does not store or handle full bank card details. Stripe is a licensed payment institution regulated in the EU.
Transparency: The total cost (subscription share + SharyDuck fee) is always displayed to the Participant before payment confirmation. No hidden fees apply.
Statement descriptor: Transactions will appear on your card statement as SHARYDUCK.COM.

7. Rights and Responsibilities (KYC)
Users may only use the Platform in accordance with these Terms, applicable laws, and the rules of the relevant Distributors. If reasonably justified, SharyDuck may request verification of subscription ownership, account details, or user identity within legal and payment infrastructure requirements.
- Users must use the Services in compliance with applicable laws, these Terms, and Distributor rules.
- Users may not infringe on third-party rights, public order, or use the Platform for commercial resale of accounts or other prohibited schemes.
Host Responsibilities:
- The Host guarantees they are the lawful owner of the Subscription.
- The Host may only offer Subscriptions that allow multiple simultaneous users under the Distributor’s rules.
- The Host guarantees the Subscription is registered in their country of residence (or the region specified in the offer).
- Hosts may only use personal (non-commercial) family plans. SharyDuck reserves the right to request proof of subscription ownership and block Hosts for clear violations of Distributor rules or these Terms.
Participant Responsibilities:
- Participants must not modify Host Subscription details (e.g., password or payment method).
- Participants must use the Subscription only in permitted geographic zones and in compliance with Distributor rules.
- Participants are prohibited from altering passwords, data, or settings of others’ accounts. Violations may result in immediate account suspension without refunds, where permitted by law and these Terms.
8. Moderation and Digital Services Act (DSA)
Ad Moderation
SharyDuck moderates Host listings.
We reserve the right to remove any listings that violate laws or intellectual property rights.
Removals may be based on complaints from rights holders or other valid requests.
We may restrict access to certain content or accounts to comply with legal requirements.
We strive to comply with applicable EU regulations, including the Digital Services Act (DSA).

Rights Holder Complaints
If you believe content or a listing infringes your rights, please contact support.
We will review complaints and remove or restrict content if necessary.
In disputed cases, we may request additional information for verification.
Principles
We act in good faith and are committed to maintaining a safe and lawful platform.
10. Waiver of Right of Withdrawal
Under Section 7(6)(l) of Slovak Act No. 102/2014 Coll. on Consumer Protection in Distance Selling (and equivalent EU directives), Users are informed that the right of withdrawal does not apply to digital content or services if performance begins with the consumer’s prior express consent and acknowledgment that they thereby lose this right. By using the Service immediately after payment, the User expressly waives their right of withdrawal.
12. Prohibited Conduct
The following actions are strictly prohibited:
- Transferring stolen accounts or engaging in fraudulent activities.
- Reselling access to the Services or monetizing Site data.
- Performing actions that disrupt the Site’s operation or cause damage to it.
- Using the messaging system for spamming, harassment, or distributing illegal content.
13. Penalties for Violations
In the event of a serious violation (e.g., fraud, invalid credentials, or unauthorized changes to the Host’s password), SharyDuck reserves the right to:
- Suspend or terminate the User’s Account.
- SharyDuck may withhold any funds in the User’s internal balance to compensate for damages to the platform and other users. The platform also reserves the right to pursue legal action for damages.
14. Liability
- SharyDuck acts as a technology intermediary and Payment Collection Agent on behalf of the Host.
- SharyDuck is not a party to the subscription-sharing agreement between the Host and the Participant. The Host and Participant independently enter into a cost-sharing arrangement using SharyDuck’s platform as a facilitating tool.
- SharyDuck is not responsible for the quality, availability, or content of third-party Distributor services (e.g., Spotify, YouTube).
- SharyDuck does not guarantee Hosts a specific volume of transactions or a minimum number of Participants.
- SharyDuck’s liability as a Payment Collection Agent is limited to ensuring the secure receipt and timely transfer of funds in accordance with these Terms. Responsibility for service delivery rests with the Host.
- Liability is limited to direct damages proven by the User resulting from SharyDuck’s own actions.
15. Personal Data
SharyDuck processes personal data in accordance with the General Data Protection Regulation (GDPR). For more details, please refer to our Privacy Policy.
16. Force Majeure
Neither party shall be liable for any failure to fulfill its obligations due to force majeure circumstances (unforeseen and unavoidable events), including strikes, epidemics, or internet technical failures.
17. Governing Law and Jurisdiction
These Terms and Conditions are governed by and construed in accordance with the laws of the Slovak Republic.
18. Dispute Resolution and Mediation
In the event of a dispute, the User must first contact SharyDuck’s support team to seek an amicable resolution.
If no amicable solution is found, the User (Consumer) may initiate an Alternative Dispute Resolution (ADR) procedure with the Slovak Trade Inspectorate (Slovenská obchodná inšpekcia – SOI) at Prievozská 32, 827 99 Bratislava, or via the platform: https://www.soi.sk/en/Alternative-dispute-resolution.soi.
